Terms of Service

By creating an account, accessing, or using the Flexduuka platform ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not create an account or use the Service. Your continued use of the Service after any changes to these Terms constitutes acceptance of the revised Terms.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to:

• Choose a strong, unique password and keep it secure.
• Notify us immediately of any unauthorized access or suspected security breach.
• Ensure that anyone who uses the Service through your account complies with these Terms.

You must provide accurate and complete information when registering and keep it up to date. We reserve the right to suspend or close accounts that provide false information or that are used in violation of these Terms.

The Service provides tools for inventory management, point of sale, sales tracking, reporting, and related business operations. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes, subject to these Terms and the plan you subscribe to.

Features and functionality may vary depending on your subscription plan. We may add, modify, or remove features at any time, but we will make reasonable efforts to notify you of significant changes.

Some features of the Service require payment of subscription fees. By choosing a paid plan you agree to pay all fees in the currency and at the rates displayed at the time of purchase.

• Subscription fees are billed in advance on a recurring basis according to your plan cycle.
• Fees are non-refundable except where required by law or where expressly stated otherwise.
• If a payment fails, we may suspend access to paid features until the outstanding amount is settled.
• You may cancel or downgrade your plan at any time; changes take effect at the end of the current billing cycle.

We may change our prices in the future. We will provide reasonable notice of any price changes, and continued use of the Service after the change takes effect constitutes acceptance of the new pricing.

You retain all rights to the business data, product information, and content you enter into the Service ("Your Data"). You grant us a limited license to process Your Data solely to operate, maintain, and improve the Service.

We take reasonable technical and organizational measures to protect Your Data. We do not sell your personal information. Our handling of personal data is described in our Privacy Policy.

Upon account termination, we will provide you with a reasonable opportunity to export Your Data before it is permanently deleted, subject to applicable law and our data retention policies.

The Service, including its software, design, logos, trademarks, and all related materials, is owned by Flexduuka or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from any part of the Service, except as expressly permitted in writing.

You may not use Flexduuka's name, logos, or branding without our prior written consent.

You agree not to misuse the Service, including but not limited to:

• Attempting to breach or circumvent the security or integrity of the Service.
• Using the Service for any unlawful, fraudulent, or harmful activity.
• Interfering with the operation of the Service or the experience of other users.
• Sharing your account credentials or allowing unauthorized third parties to access the Service.
• Attempting to scrape, crawl, or extract data from the Service in ways not permitted by these Terms.

We reserve the right to investigate and take appropriate action, including suspending or terminating accounts, for violations of this section.

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, if required by law, or if we discontinue the Service (with reasonable notice where practicable).

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will continue to apply.

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that the results obtained from using the Service will be accurate or reliable. You use the Service at your own discretion and risk.

To the maximum extent permitted by law, Flexduuka shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or business opportunities, arising out of or related to your use of the Service.

Our total aggregate liability arising out of or related to these Terms or the Service shall not exceed the amounts you have paid to us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Flexduuka and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. When we make material changes, we will update the "Last updated" date above and make reasonable efforts to notify you (for example, via email or an in-app notice).

By continuing to use the Service after revised Terms become effective, you agree to be bound by the revised Terms. If you do not agree to the revised Terms, you should stop using the Service.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda, without regard to its conflict-of-law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Uganda.
